Subscribers to our system are called members. New Members are sponsored by existing Members, creating a huge sales force of members sponsoring both their lodging friends and local businesses wanting to provide their service to the lodging guests. We pay our members a residual monthly 20% sponsor commission, if their friend signs up for an advertisement subscription. Members are responsible for all their own expenses. Member Status as an Independent Contractor When a member purchases a subscription or one of our products, their Member Status is… a customer of Hotel Area Guide. When a member sponsors a friend or local business, their Member Status is… an Independent Contractor. When a member receives a commission, their Member Status is… an Independent Contractor. A Member is not required to subscribe or purchase any product or service marketed by Hotel Area Guide. If a Member chooses to purchase any product or service offered by Hotel Area Guide, he or she will be responsible for all billings when due. If a Member becomes past due on any bill for services or products provided by Hotel Area Guide,  Hotel Area Guide may deduct amounts owed from future commission payments. Hotel Area Guide reserves the right to terminate a Member who is repeatedly past due in the payment for any service or product. Territorial Rights As an "Independent Contractor", members can market our services and products and sponsor new members anywhere in the world. Rules of Conduct We expect and require all our salespeople to be the perfect respectful salesperson. We have an amazingly useful product with millions of potential customers from around the world. We do not need or condone any sales techniques or methods other than those described within these instructions. In specific, mass mailings are "Not" permitted. Even though this sounds like a great way to sell lots of subscriptions, our entire Hotel Area Guide url can and will get blocked as… sending out spam… by internet providers from around the world. Mass Mailing violators will be permanently removed from our system, lose all their sponsorship commissions and be subject to prosecution. We simply ask you to be the perfect respectful salesperson. Ethics Hotel Area Guide permits no unethical or illegal activity and will intercede whenever such behavior should exist. Hotel Area Guide reserves the right to use its best judgment in deciding whether cer­tain Member activities are unethical. Hotel Area Guide may use its own discretion in determining the appropriate course of action. If we determine that unethical activities do exist, then we reserve the right to suspend or terminate the Members status, including, but not limited to removing all commissions and payments of any kind. Under no circumstances will a Member, who is terminated for unethical or illegal activity, be entitled to any refunds. Claims of Employment Members are independent contractors and not employees of Hotel Area Guide or The Virtual Concierge. The relationship between the Member and Hotel Area Guide shall not be construed as that of employee-employer. Members are not part of an agency, partnership or joint venture. It is impermissible to assert or imply that a Member or prospective Member is or will be employed by either Hotel Area Guide or The Virtual Concierge. Representation Members shall make no claim or inference to prospective Members as to the anticipated or actual income a Member might earn. The Virtual Concierge makes no guarantees of income, nor assurances of any profits or suc­cess. Furthermore, any profits or success resulting from activities as a Member will be based upon New Member acquisition and the amount of services or products purchased by those custom­ers. Any success achieved will be based solely upon the Member's effort, commitment and skills. Members agree to indemnify and hold The Virtual Concierge and its shareholders, partners, members, directors, officers and employees harmless from all claims, damages and expenses, including attorneys' fees arising out of actions or conduct. Member Disputes Hotel Area Guide may mediate disputes between two or more Members if requested to do so by all of the parties involved in the dispute. If The Virtual Concierge agrees to mediate any dispute, its find­ings shall be binding on all parties involved in the dispute. Binding Arbitration In the event a dispute should arise between a Member and Hotel Area Guide as to the Policies and Procedures, such disputes shall be resolved through binding arbitration before the "American Arbitration Association" pursuant to the Commercial Rules of Arbitration. The arbitration shall be held in Boston, Massachusetts, before a panel of three arbitrators, each side choosing one and then the two choosing the third. All claims hereunder must be brought within two (2) years of the date on which the facts or circumstances giving rise to the claim are alleged to have happened. Law of the state of Massachusetts will apply to the resolution of the dispute unless otherwise agreed in writing. The award of the arbitrator shall be final and may be entered in any court of competent jurisdiction. This provision shall not restrict Hotel Area Guide from seeking preliminary or permanent injunctive relief in any court of competent jurisdiction. Contractual Obligations All Members are responsible for any expenses which result from their business operation. Miscellaneous expenses include, but are not limited to, license or permits required to operate a business, legal fees connected with the use of a business name, tele­phone expenses, product advertising, etc. Members shall not involve Hotel Area Guide in any contractual relationships relative to their businesses. Members cannot and shall not sign contracts, rent or lease office space or equipment, open bank ac­counts, secure credit, cash negotiable instruments, make purchases or enter into agreements of any kind in the name of Hotel Area Guide or The Virtual Concierge. Such action is prohibited and cause for termination of Member's status. Each Member shall hold Hotel Area Guide, its share­holders, partners, members, directors, officers and employees harm­less from any claims, damages or liabilities arising out of such action. Reporting Taxes Members are not considered employees for pur­poses of the Social Security Act, the Federal Unemployment Tax Act, Federal Income Tax laws or any other laws governing employees. It is the Member's responsibility to make self-employ­ment and income tax payments as required by law. As such, Hotel Area Guide does not deduct any taxes from any commission payments. Hotel Area Guide will send a Form 1099 to all applicable Members who earn $600 or more in a tax year. It is the Member's responsibility to provide Hotel Area Guide with the proper Social Security Number or Taxpayer Identification Number. If the information provided is incorrect or if the Internal Revenue Service notifies Hotel Area Guide that the information does not match their records, then Hotel Area Guide will hold all future payments up to 1 year, until the matter is resolved. 4. Compensation Commission Plan As a "Special Promotion", Hotel Area Guide offers a residual commission plan to its members.  Month after month, members will receive our residual commissions. However, it is important for members to understand that our residual commission plan is a "Special Promotion" and not a permanent offering. Hotel Area Guide reserves the right to change this residual commission policy at any time. Reports Subscription reports, customer lists and commission reports are available from the "Back Office". The Member acknowledges and agrees that such information is propri­etary and confidential to Hotel Area Guide and is transmitted to the Member in strict confidence. The information provided may not be distributed to any other individual or company. But for this agreement of confidentiality, Hotel Area Guide would not provide the above information. Commission Payments Commissions are paid based on the bank cleared payments of customer orders. Sponsor Any Member can sponsor a new Member and receive our 20% residual sponsor commission. Payment Frequency All commissions are computer calculated monthly based on bank cleared customer payments. All commissions are posted to your "My Commissions" report. Commissions are paid upon request. Any bank charges for this service are the responsibility of the Member. Administrative Fees The Member will be responsible for any administrative fees that may arise. Reversal of Commissions Hotel Area Guide reserves the right to reverse the payment of any commis­sion found to be invalid. 5. Compliance These Policy and Procedures were created as guidelines for Hotel Area Guide and its Members and serve to protect the rights of both parties. They are intended to ensure the proper functioning of daily business operations. Hotel Area Guide reserves the right to amend these Policy and Procedures from time to time as Hotel Area Guide deems necessary. Any Member who violates any provision of the Policy and Procedures itemized herein, may be terminated by Hotel Area Guide. Termination cancels any and all rights and will be effective upon verification of said violation(s) and notification of the offending Member by Hotel Area Guide. In the event a dispute arises be­tween Hotel Area Guide and A Member as to their respective rights, duties and obligations under this agreement, or in the event of a claim of breach of this agreement by either party, such dispute shall be exclusively resolved through binding arbitration as described herein. Under no circumstance would A Member who is terminated for unethi­cal activity be entitled to any refund or be allowed to transfer their customers or their Member position to another party.
